Terms of Service & User Legal Agreement

1. Acceptance of Terms

By accessing and using the Artemis GTM service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. These Terms constitute a legally binding agreement between you and Artemis GTM.

2. Description of Service

Artemis GTM provides an AI-powered go-to-market audit tool, a catalog of downloadable products, and professional consulting. The Service includes:

AI-generated analysis of your GTM metrics and identification of potential revenue leaks
Recommended solutions and tools
Downloadable GTM Implementation Guide
Interactive calculators and diagnostic tools
Downloadable AI agents and skills: one-time purchases that you download and run in your own environment
Aegis membership: a recurring annual subscription that provides ongoing access to membership benefits (see Section 7)
Consulting services: professional implementation and advisory engagements provided under separate statements of work

Note: The "Automated Workflow Solutions" section provides detailed implementation blueprints for AI-powered automations. These blueprints are provided for informational purposes. Professional implementation services are available separately through our consulting team.

3. AI-Generated Content Disclaimer

IMPORTANT:

All analysis, recommendations, and revenue impact estimates provided by this Service are generated by artificial intelligence. These outputs are illustrative estimates based on industry benchmarks and the information you provide. Actual results may vary significantly. This Service does not constitute financial, legal, or professional consulting advice.

4. AI Chat Assistant Disclosure

Our website includes an AI-powered chat assistant to help answer your questions about our services. This chat assistant is automated and powered by artificial intelligence. While we strive to provide accurate and helpful responses, the AI may occasionally provide incomplete or incorrect information. For critical decisions, please contact our human team directly.

5. No Guarantee of Results

We do not guarantee any specific outcomes or results from implementing the recommendations provided. Revenue impact figures are estimates only and should not be relied upon for business decisions without independent verification.

6. User Responsibilities

You agree to:

Provide accurate information when using the Service
Use the Service only for lawful purposes
Not attempt to reverse-engineer or copy the Service
Not use the Service to harm competitors or spread misinformation
Maintain the confidentiality of your account
Comply with all applicable laws and regulations

7. Terms of Purchase & Refund Policy

7.1 What You Can Purchase

Artemis GTM offers two types of purchases, which are billed differently:

One-time purchases (no recurring billing): downloadable products and unlocks billed as a single charge — including the "One-Time Full Access Unlock" (unrestricted access to AI-recommended solutions, a downloadable GTM Implementation Guide tailored to your audit results, and lifetime access to your complete audit report) and individually purchased downloadable AI agents and skills.
Aegis membership (recurring annual subscription): billed as an auto-renewing annual subscription that continues until you cancel (see Section 7.5).

Digital goods are delivered electronically and made available immediately upon successful payment.

7.2 License Grant & Ownership

Your purchase of downloadable agents, skills, guides, and other digital products grants you a non-exclusive, non-transferable license to use those products for your own internal business purposes. It does not transfer ownership. Artemis GTM (and its licensors) retain all right, title, and interest in the products, including all underlying intellectual property. You may not resell, sublicense, redistribute, or publicly share purchased products except as expressly permitted in writing. An active Aegis membership grants access to membership benefits only for the duration of the subscription; access to membership-gated benefits ends when the subscription ends, though one-time purchases you have already made remain yours. Consulting services are provided under, and governed by, the separate statement of work for each engagement.

7.3 Refunds

One-time digital purchases:

Because downloadable digital products and unlocks are delivered immediately and cannot be returned, one-time purchases are generally final once your purchase is complete and access is granted, except where a refund is required by applicable law (including the consumer rights described in Section 7.6).

Aegis membership is excluded from the "final sale" treatment above. Membership cancellation, renewal, and refund handling are governed by the Subscription & Auto-Renewal terms in Section 7.5, together with any applicable consumer-protection law.

7.4 Pre-Purchase Transparency

Before purchasing, you have the opportunity to:

Review your complete audit results including identified revenue leaks
See the expected impact and scope of each recommended solution
Access one full solution for free to evaluate quality
Review the applicable price, the billing frequency, and (for the Aegis membership) the renewal price and renewal date before you are charged

7.5 Subscription & Auto-Renewal (Aegis Membership)

Automatic annual renewal:

The Aegis membership is an annual subscription that automatically renews at the end of each yearly term until you cancel. By purchasing a membership, you authorize Artemis GTM to charge your payment method the then-applicable renewal price on each renewal date, on a recurring basis, until cancellation.

Renewal price. Your membership renews each year at the applicable annual rate. If you joined at a founding-member rate, that founding rate is locked for life and your membership will renew at that same founding price for as long as your subscription remains active and uninterrupted. Standard (non-founding) memberships renew at the then-current published annual price; we will notify you in advance of any change to your renewal price.

How to cancel. You can cancel at any time before your next renewal date through your account's billing portal using the Manage Subscription link, or by emailing support@artemisgtm.ai. Cancellation stops future renewals; you retain access to membership benefits through the end of the period you have already paid for. Losing a founding rate is permanent — if a founding membership lapses or is canceled, re-joining will be at the then-current standard price.

7.6 EU/UK Consumer Right of Withdrawal

If you are a consumer in the European Union or the United Kingdom, you generally have a statutory right to withdraw from a purchase within 14 days without giving a reason. However, for digital content delivered instantly (such as a downloadable agent, skill, or guide, or an immediate access unlock), you expressly request immediate performance and acknowledge that you lose this 14-day right of withdrawal once delivery or download has begun. Where a product has not yet been delivered or download has not yet begun, the 14-day withdrawal right still applies. Nothing in these Terms limits any mandatory consumer rights you have under applicable law.

7.7 Payment Processing

All payments are:

Processed securely through Stripe, a PCI-DSS compliant payment processor
Charged in United States Dollars (USD)
Billed as a one-time charge for downloadable products and unlocks, or as a recurring annual charge for the Aegis membership (see Section 7.5)

8. Intellectual Property

The Service, including its design, functionality, and content (excluding your data), is owned by Artemis GTM and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without permission.

9. Third-Party References

Our Service references various sales methodologies (e.g., MEDDIC, Winning by Design) and tools. These references are for educational purposes only. We are not affiliated with, endorsed by, or officially connected with these organizations unless explicitly stated.

10. Affiliate Relationships

Some tool recommendations contain affiliate links. We may earn commissions from purchases made through these links. This does not affect the price you pay or influence our recommendations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTEMIS GTM SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, or consequential damages
Loss of profits, revenue, or business opportunities
Decisions made based on the Service's recommendations
Any errors or inaccuracies in AI-generated content
Service interruptions or data loss

Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Artemis GTM and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, for significant changes, by email or prominent notice on our website. Continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
